Due Diligence for Investments, Mergers, and Acquisitions

IGI’s due diligence investigations provide crucial insight to clients considering or planning acquisitions, investments and other financial or business ventures. We conduct domestic and international due diligence of clients’ prospective acquisition targets, portfolio companies and joint venture partners, of potential investments and investors under consideration and other contemplated business relationships.

In these cases we look for red flags in our deep dive in the public record and press reporting, and may conduct discreet interviews of sources ranging from former employees to customers, clients and competitors, who are potentially knowledgeable about the subject entities’ business practices, operational capabilities and reputation in the industry.

This extensive background research and analysis positions our clients to make more confident, better-informed decisions about potential investments. In cases where we do identify issues of possible concern, our information can provide clients with negotiating leverage to obtain more favorable pricing or deal terms, or concessions from the counter-party to cap risk, such as indemnifications or contingent consideration relating to the issues we have identified.
